The 2023 Covered Bridge Cabinetry® Wow Kitchen Contest #1 (the “Contest”) will commence at 12:00:01 A.M. Eastern Standard Time on February 1, 2023 and end at 11:59:59 P.M. Eastern Standard Time on June 30, 2023 (the “Contest Period”). The Sponsor of this promotion is FGI Industries, Ltd. (“FGI Industries” or “Sponsor”). Participation constitutes Participant’s full and unconditional agreement to these rules (the “Official Rules”), which are final and binding in all matters related to the Contest.

ELIGIBILITY.

The Contest is open to legal U.S. residents currently residing in the 50 United States and the District of Columbia who: (1) are eighteen (18) years of age or older as of the date of entry; and (2) are existing, dealers of Covered Bridge Cabinetry® in good standing (a “Dealer”) as of February 1, 2023, as determined by Sponsor in its sole discretion. Designers who work with/for a Dealer or other employees who work for a particular Dealer may submit entries on behalf of that Dealer with that Dealer’s permission, however, any monetary Prizes will be awarded exclusively to Dealer. Employees, officers, and directors of Sponsor, or its advertising, public relations, promotional, fulfillment, or marketing agencies, or members of their immediate families (spouses, parents, siblings, and children, regardless of where they live) and those living in the same household are not eligible to enter or win. Employees, officers, and directors of competitors of Sponsor or Sponsor’s affiliates are not eligible to enter or win.

HOW TO ENTER.

During the Contest Period, Dealers may enter the Contest by providing photographs and other details of a Covered Bridge Cabinetry® project that the Dealer has completed for a customer (a “Completed Project” as defined below) as well as all of the other information requested on the online Entry Form available here. Dealer must also agree to and execute the Photography & Video Release on the Entry Form to enter the Contest.

A Completed Project is one that (A) was completed and delivered to the customer prior to the submission date; (B) was completed by the Dealer submitting the entry; and (C) includes Sponsor’s Covered Bridge Cabinetry® product. Dealers may submit more than one Completed Project; however, a Dealer cannot submit two Projects that occurred at the same residential address. For example, submitting photos of a bathroom remodel and a kitchen remodel that both occurred at 555 MAIN ST would only be considered one Completed Project for the purposes of the Contest.

Participant’s entire submission shall be referred to hereinafter as the “Entry.”

Entries that are not received by Sponsor for any reason will not be eligible and will be disqualified. Multiple Participants are not permitted to share the same email address. Sponsor is not responsible for lost, misdirected, false, corrupted, illegible, or late entries. Sponsor shall have the sole discretion to determine the validity of an Entry. All potential winners and the Entry are subject to verification before any Prize will be awarded. Automated or bulk entries or entries submitted by third parties will be disqualified. Incomplete, illegible, corrupted, or untimely entries are void and will be disqualified. In the event of a dispute concerning the identity of a Participant, the Entry will be declared to have been made by the registered account holder of the email address used for Entry, but only if that person meets all other eligibility criteria, otherwise the Entry may be disqualified, and any potential Prize won will be forfeited in Sponsor’s sole discretion.

JUDGING OF ENTRIES PRIZE SELECTION.

Within a reasonable time at the end of each Monthly Period (as defined in the “Prizes” section below), a panel of qualified judges comprised of Covered Bridge Cabinetry® kitchen and design experts will review and score each Entry based on the following equally weighted criteria.

• Criteria 1: Creativity: 25%
• Criteria 2: Color Selection: 25%
• Criteria 3: Uniqueness: 25%
• Criteria 4: Aesthetic Choices: 25%

The top scored Entry at the end of each Monthly Period will be eligible to receive the Prize for that Monthly Period. An Entry that is not selected as the winner for one Monthly Period will still be considered for subsequent Monthly Periods. However, if an Entry is selected as the winner at the end of one Monthly Period, then it will not be considered in subsequent Monthly Periods.

In the event of a tie among multiple entries, the tie will be broken by the highest individual score received for Criteria 1 during the judging period. If there is still a tie, any additional ties will be broken by the highest individual scores received for Criteria 2, Criteria 3, Criteria 4 during the judging period, in that order.

This is a challenge of skill and as such, the odds of winning depend on the number of eligible entries received and their relative merit. The potential winners will be notified via the email address they used on the Entry Form. The winning entry will be announced to Covered Bridge Cabinetry® Dealers by email within a reasonable time following each Monthly Period.

Potential winners must respond by email within three (3) business days of Sponsor’s email or they may forfeit the Prize. If potential winners cannot be contacted within three (3) calendar days of first notification attempt, if any Prize or prize notification is returned as undeliverable, or in the event of noncompliance with these Official Rules, such eligible winner may forfeit such Prize and an alternate eligible winner may be selected from all remaining eligible entries, time permitting. Upon Prize forfeiture, no compensation will be given and the Entry will not be considered in subsequent Monthly Periods. Potential winner must continue to comply with these Official Rules and winning is contingent upon fulfilling all requirements.

PRIZES.

At the end of each Monthly Period below, the one (1) Dealer who received the highest score according to the criteria outlined above will be selected as a potential winner to receive the following Prize: (A) a $100 Amazon gift card; (B) a feature in a Covered Bridge Cabinetry® email or newsletter; and (C) a social media feature on Covered Bridge Cabinetry® social channel(s). Total Prize ARV: $500.

Participation in the Contest constitutes Participant’s grant to Sponsor of the irrevocable, perpetual, worldwide, royalty-free, transferable, nonexclusive right to use, publicly display, print, publish, reproduce, distribute, modify, create derivative works from, and provide access to Participant’s Entry, name, address (city and state/province/territory), likeness, photograph, picture, portrait, voice, opinions, biographical information and/or any statements made by Participant regarding the Contest or the Prize(s) for advertising and promotional purposes without limitation, in any media, worldwide, without notice or additional compensation or consent, except where prohibited by law.

By entering, you understand that your Entry will be reviewed by Sponsor and may be posted online by Sponsor on its social media channels or other advertising, in their sole discretion, to be viewed by members of the public. All Entries that meet the Contest eligibility requirements will be entered for a chance to win, regardless of whether they are featured or posted by Sponsor. GENERAL CONDITIONS.

By participating in this Contest, each Participant represents that there is no legal or contractual restriction barring participation, including, without limitation, any restriction from Participant’s employer or company. Participant agrees to release, indemnify and hold harmless Sponsor and their agents, licensees, officers, directors, owners, shareholders, employees, representatives, franchisees, and agents of all of the foregoing (the “Released Entities”) from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever, including without limitation property damage, personal injury and/or death which may occur in connection with, preparation for or participation in the Contest, or possession, acceptance and/or use or misuse of the Prize or participation in any Contest-related activity and for any claims based on copyright, trademark, publicity rights, defamation or invasion of privacy and merchandise delivery.

DISPUTE RESOLUTION AND LIMITATION OF LIABILITY.

All federal, state, and local laws and regulations apply. By entering the Contest, each Participant agrees that (a) any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any Prize awarded, shall be resolved individually, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys’ fees; and (c) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND BY ENTERING EACH PARTICIPANT WAIVES ALL RIGHTS TO CLAIM PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES.

VENUE AND JURISDICTION.

All issues and questions arising from or relating to the Contest or these Official Rules, shall be governed by, and construed in accordance with the laws of the State of New Jersey without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of New Jersey. Any legal proceedings arising out of this Contest or relating to these Official Rules must be instituted solely and exclusively in the federal or state courts located in the State of New Jersey, and the parties’ consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising from or relating to the Contest or these Official Rules.

DISPUTE RESOLUTION AND LIMITATION OF LIABILITY.

All federal, state, and local laws and regulations apply. By entering the Contest, each Participant agrees that (a) any and all disputes, claims, and causes of action arising out of or connected with the Contest, or any Prize awarded, shall be resolved individually, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Contest, but in no event attorneys’ fees; and (c) UNDER NO CIRCUMSTANCES WILL ANY PARTICIPANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND BY ENTERING EACH PARTICIPANT WAIVES ALL RIGHTS TO CLAIM PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES AND ANY AND ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES.

VENUE AND JURISDICTION.

All issues and questions arising from or relating to the Contest or these Official Rules, shall be governed by, and construed in accordance with the laws of the State of New Jersey without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of the laws of any jurisdiction other than the State of New Jersey. Any legal proceedings arising out of this Contest or relating to these Official Rules must be instituted solely and exclusively in the federal or state courts located in the State of New Jersey, and the parties’ consent to jurisdiction therein with respect to any legal proceedings or disputes of whatever nature arising from or relating to the Contest or these Official Rules.
